ARTISAN ROOFING & HOME IMPROVEMENTS INC. SALES AGREEMENT
This Agreement (“Agreement”) is entered into between Artisan Roofing & Home Improvements Inc. (“Artisan Roofing,” “we,” “our,” or “us”) and the Customer (“Customer,” “you,” or “your”) for the provision of roofing and home improvement services as outlined in the project proposal. By signing this Agreement, you agree to the following terms and conditions:
1. SCOPE OF WORK
1.1 Services Provided: Artisan Roofing agrees to supply labor and materials as outlined in the provided estimate to the Customer’s address noted above. All materials remain the property of Artisan Roofing until full payment is received.
1.2 Unforeseen Conditions & Change Orders: Artisan Roofing assumes no liability for the cost of repair or replacement of unreported or unexpected defects or damages not seen at the time of the estimate. If unforeseen issues arise (e.g., hazardous materials, past improper renovations, additional roofing layers, step flashings, or the need to install plywood), additional work will require a separate written “Change Order.”
1.3 Compliance & Permits: Artisan Roofing follows code compliance as required by the local permitting jurisdiction. The Customer is responsible for obtaining necessary permits unless otherwise agreed. Any required inspections may delay project timelines beyond our control.
2. PAYMENT TERMS
2.1 Deposit Requirement:
- A 50% deposit is required before the commencement of work.
- Credit card payments for deposits incur no additional fees.
2.2 Final Payment:
- The remaining 50% is due immediately upon project completion, following our final inspection and approval.
- Credit card payments for the final balance will incur a 2.9% processing fee.
- Late payments over 30 days from completion are subject to a 4% monthly interest charge on outstanding balances.
2.3 Payment Methods:
- Accepted methods: credit card, e-transfer, or check.
- No additional fees apply for e-transfer or check payments.
2.4 Cancellation Policy:
- A non-refundable $500 service charge applies to the cancellation of projects that have been scheduled with deposit.
- Custom-ordered materials such as steel roofing, skylights, siding, and custom flashings are non-refundable.
3. CUSTOMER RESPONSIBILITIES
3.1 Site Access & Utilities: The Customer must provide reasonable access to the worksite and ensure necessary utilities (electricity, water) are available.
3.2 Permits & Approvals:
- Artisan Roofing will obtain required permits unless specified otherwise.
- The Customer is responsible for ensuring compliance with homeowners’ association or regulatory approvals.
3.3 Final Inspection & Acceptance:
- A final inspection will be conducted upon project completion.
- The Customer must notify Artisan Roofing within 48 hours of any concerns; otherwise, the work is deemed accepted.
4. WARRANTIES & LIABILITY
4.1 Workmanship & Material Warranties:
- Artisan Roofing provides workmanship warranties as outlined in the project proposal.
- Manufacturer warranties apply per their terms and conditions.
4.2 Liability Disclaimer:
- Artisan Roofing is not responsible for delays caused by weather, material shortages, unforeseen conditions, or circumstances beyond our control.
5. REPAIR WARRANTY
All repair work completed by Artisan Roofing is covered by a 12-month workmanship warranty from the date of completion. This warranty applies only to the specific repair area(s) performed by our crew. Any new leaks, damage, or issues that occur outside of the exact repaired location, or caused by other trades, new deficiencies, or unrelated roof/system conditions, are not covered and will be billed as additional work.
6. FORCE MAJEURE CLAUSE
Artisan Roofing shall not be held liable for delays, additional costs, or inability to perform work due to unforeseen circumstances beyond our control, including but not limited to:
- Extreme weather conditions
- Supply chain disruptions
- Government-imposed tariffs or trade restrictions between Canada and the U.S.
- Acts of war, terrorism, or political instability affecting material sourcing
- Natural disasters or pandemics
If any of the above conditions impact the project, both parties agree to a reasonable adjustment of contract terms, timeline, or pricing to reflect the unforeseen changes.
7. DISPUTE RESOLUTION
7.1 Mediation & Legal Action:
- Any disputes shall first be attempted to be resolved through mediation.
- If mediation fails, legal proceedings will take place in the jurisdiction where the work was performed.
8. AGREEMENT ACCEPTANCE
By signing below, the Customer acknowledges and agrees to the terms set forth in this Agreement.
